TERMS OF SERVICE
Last updated: September 1, 2026
What You Should Know at a Glance
- Your videos and your clips belong to you. We do not claim ownership of them.
- You give us a broad license to process your content, to use it to improve and train ChatClip, and to share clips you export on our own channels.
- Your voice is different. If you opt in to voice print, we build a voice model only from your own voice, use it only inside your projects, never train on it, and delete it when you ask or when your account closes.
- Content is retained while your project exists. When you delete a project, its content is scheduled for deletion.
- Pricing, project allowances, and export allowances are published at chatclip.io/pricing. These Terms describe how those allowances work, not the amounts.

Feature Availability
Features, accepted file formats, output formats, allowances, and limits are described on the applicable product and pricing pages at chatclip.io and may change from time to time. We may modify, add, or remove features at our discretion.
Early Access
ChatClip is under active development. The Service may have limited features, contain bugs, produce unexpected results, or change without notice. By using the Service you acknowledge that features, pricing, and availability may change, and that we are not liable for data loss, workflow disruption, or other issues arising from use of the Service during this period.
3. Accounts
Eligibility
You must be at least 18 years of age to use the Service. By creating an account, you represent that you are at least 18.
Your Account
By registering, you agree to:
- Provide accurate and complete information
- Keep your login credentials confidential and secure
- Accept responsibility for all activity under your account
- Notify us at support@threadlinestudio.io if you believe your account or credentials have been compromised
The Service supports authentication through Google Sign-In and other identity providers as made available through the platform.
Use on Behalf of a Business
If you use the Service on behalf of a company, client, or other legal entity, you represent that you have authority to bind that entity to these Terms, and "you" includes that entity.
Publicity
You grant us the right to use your name, business name, and logo on our website and marketing materials to identify you as a ChatClip user. You may opt out of this publicity right at any time by contacting support@threadlinestudio.io. This section does not limit the license to reposted clips in Section 6, which does not carry an opt-out.
4. Account Termination, Suspension, and Deletion
Termination by You
You may close your account at any time through your account settings or by contacting support@threadlinestudio.io.
Upon account closure:
- You retain access through the end of your current billing period
- All Customer Content, including any voice model, is scheduled for deletion from active systems within 30 days. Deletion is typically completed within this timeframe but may take longer for certain data categories or vendor systems.
- Any unused plan allowance, top-up allowance, and earned projects are forfeited
- Service Data and data retained under the license in Section 6 are retained as described in Section 7
- Residual copies of deleted data may persist in secure backups for a limited period before being automatically overwritten. Backup data is not actively processed or accessible.
- Data may persist in third-party vendor systems subject to those vendors' retention policies
Suspension or Termination by Us
We may suspend or terminate accounts that we reasonably believe violate these Terms, applicable law, or third-party rights, or where necessary to protect the Service, its users, or others. Suspension or termination does not entitle you to compensation or reimbursement.
Data Export
Download any exports you wish to keep before closing your account or deleting a project. Once Customer Content is deleted, it cannot be recovered.
5. Plans, Billing, and Refunds
Allowances
Use of the Service is measured in projects and exports. A project is a single upload and the clips generated from it. An export is a finished clip file downloaded from a project. Each plan includes a monthly allowance of projects and a per-project allowance of exports. Current plans, prices, and allowances are published at chatclip.io/pricing.
Allowances refresh at the start of each monthly billing cycle. Unused projects and exports do not roll over to the next cycle. When an allowance is exhausted, the related feature is unavailable until the next cycle, a top-up is purchased, or a project is earned.
Free Plan
The free plan includes a monthly project allowance and export allowance as published on the pricing page. Exports on the free plan carry a ChatClip watermark. The free plan is your opportunity to evaluate the Service before purchasing.
Paid Subscriptions
By subscribing to a paid plan, you agree to pay the applicable subscription fee for the billing term selected. Subscriptions renew automatically at the end of each billing cycle unless you cancel before the next billing date. Where annual billing is offered, annual subscriptions run their full term; you may switch to monthly billing at the annual renewal date, and mid-term conversion is not available.
All prices are stated in United States Dollars and are exclusive of applicable taxes. Taxes are calculated and added at checkout where required by law. Currency conversion fees charged by your bank or payment provider are your responsibility.
Top-Ups
A top-up is a one-time purchase that grants your plan's full monthly allowance again within the current billing cycle. Top-ups may be purchased repeatedly. Top-up allowances expire at the end of the billing cycle in which they were purchased, are non-refundable, have no cash value, and are non-transferable.
Earned Projects
We may offer ways to earn additional projects, such as posting a watermarked clip. An earned project includes the standard export allowance for your plan. Earned projects expire at the end of the billing cycle in which they were earned. Earned projects are consumed after plan projects and before top-up projects. There is no limit on the number of projects that may be earned in a cycle. We may revoke earned projects that were obtained through fraud, abuse, or misrepresentation, including where the qualifying post is removed, and we may modify or end any earn program with notice.
Plan Changes
When you upgrade, the price difference for the remainder of the current billing cycle is charged immediately on a prorated basis, and your new allowance applies immediately. When you downgrade, your current allowance remains available until the end of the current billing period, after which the new plan applies. Downgrading to the free plan does not trigger a new free-plan allowance mid-cycle.
Allowances Consumed Are Final
Projects and exports consumed are non-refundable regardless of the quality, accuracy, or suitability of the output. If you believe an allowance was consumed in error, contact support@threadlinestudio.io. We will investigate and correct verified errors at our discretion.
Price Changes
We may change subscription pricing with at least 30 days' notice before the start of your next billing cycle. Price changes apply to the next renewal and do not affect your current billing period. If you do not agree with a price change, you may cancel before the new pricing takes effect.
Failed Payments
If a payment fails, we will attempt to process the payment over a period of seven days. You retain access to the Service during that period. If payment is not successfully processed within seven days, your subscription is canceled and standard cancellation rules apply, including forfeiture of allowances.
No Refunds
Except where required by applicable law, all subscription fees and top-up purchases are non-refundable. Refunds will not be issued for dissatisfaction with the Service, dissatisfaction with generated output, failure to use the Service, failure to cancel before renewal, or any change in your requirements.
You acknowledge that the free plan provides an opportunity to evaluate the Service before purchasing. By purchasing a paid plan or top-up, you consent to immediate delivery and waive any applicable statutory cooling-off period to the extent permitted by law.
Cancellation
You may cancel your subscription at any time through your account settings or by contacting us. Cancellation stops future billing at the end of the current billing period. Cancellation does not entitle you to a refund for fees already paid.
Regional Consumer Rights
If you are located in a jurisdiction that provides mandatory consumer cancellation or refund rights that cannot be waived by contract, those rights are preserved to the extent required by applicable law.
6. Content, Data, and Use
Customer Content
"Customer Content" means all data that you upload, create, or cause to be generated within a project through use of the Service. This includes uploaded video and audio, transcripts, timing data, speaker labels, prompts and instructions you provide in chat, generated clips and their edit history, captions, graphics, exported files, and voice samples, voice models, and generated speech where you have enabled voice print.
Service Data
"Service Data" means data generated through your use of the Service that is not part of a specific project's Customer Content. This includes usage analytics and interaction data, chat prompts and responses as records of feature use, structural edit metadata (such as cut timings, pacing, and selection patterns), operational logs, error and performance data, and billing records.
Ownership
Customer Content remains your property. We claim no ownership of your Customer Content.
License to Customer Content
By uploading or creating Customer Content through the Service, you grant Threadline Studio, Inc. a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license, with the right to sublicense to our service providers, to host, store, reproduce, transcode, extract audio from, transcribe, analyze, generate embeddings from, create derivatives of, run AI features on, generate outputs from, troubleshoot, secure, and otherwise process Customer Content to operate and deliver the Service, and to use Customer Content and data derived from it to develop, train, fine-tune, evaluate, and improve the Service and the models and systems that power it. Data derived from Customer Content for these purposes may be retained after the underlying project or account is deleted.
This license does not apply to voice samples, voice models, or voice-derived representations, which are governed exclusively by Section 8.
License to Reposted Clips
You grant Threadline Studio, Inc. a non-exclusive, worldwide, royalty-free right to display, reproduce, distribute, and publicly perform clips you export from the Service, including any generated voice audio contained in them, on ChatClip's websites, social media accounts, advertising, and marketing materials, with attribution to you where practical. This right applies to all plans. It does not extend to using your voice model to generate any new speech, which is governed by Section 8. Where applicable law grants you a right to object to this use that cannot be waived by contract, that right is preserved.
Service Data Use
We retain and use Service Data for as long as necessary to maintain, improve, and develop the Service, including diagnosing issues, improving AI performance, understanding usage patterns, and managing billing.
Your Responsibility for Uploaded Content
You represent and warrant that you have all necessary rights, permissions, consents, and releases to upload Customer Content, to grant the licenses in this section, and to have us and our service providers process it, including:
- Consent from any individuals appearing in your footage where required by applicable law
- Consent from any individuals whose voices appear in uploaded media for transcription and analysis, where required by applicable law
- Rights to any third-party copyrighted material, including music, included in your uploads
- Authorization to upload client, customer, or confidential materials
- Publicity, likeness, and voice rights sufficient to permit the reposting of clips under this section
You are responsible for complying with recording, wiretap, biometric, publicity, copyright, export-control, and similar laws that apply to you.
Prohibited Content Types
The Service is not designed to process regulated or sensitive data categories, including protected health information, financial account numbers, government-issued identification numbers, or other categories of sensitive personal information as defined under applicable data protection laws. Do not upload such data. This restriction does not prohibit footage in which people discuss sensitive topics in the ordinary course of content creation, but you are solely responsible for compliance with privacy and data protection laws regarding the content of your footage.
Support and Security Access
Our personnel may access Customer Content to resolve reported technical issues, investigate suspected violations of these Terms, or as required by law. Access is subject to internal access controls.
No Sale of Personal Data
We do not sell, rent, or trade your personal data to third parties.
7. Data Retention
- Customer Content: Retained while the associated project exists. When you delete a project, its Customer Content is scheduled for deletion from active systems within 14 days. All remaining Customer Content is scheduled for deletion within 30 days of account closure. Data derived from Customer Content under the license in Section 6 may be retained after deletion.
- Voice models and voice samples: Retained as described in Section 8.
- Processing artifacts (temporary files, intermediate data): Purged automatically upon processing completion.
- Service Data: Retained for as long as necessary for the stated purposes and periodically reviewed for continued relevance.
- Account data (name, email, billing information): Deleted within 30 days of account closure, except where retention is required by law for tax or financial reporting purposes.
- Billing and allowance records: Retained for billing, account management, and service improvement purposes, and as required by law.
- Voice consent records: Retained for three years after the associated voice model is deleted, as a compliance record.
- Backup retention: Following deletion, residual copies may persist in secure backups for a limited period before being automatically overwritten. Backup data is not actively processed or accessible.
- Vendor-side retention: Data processed by our third-party service providers may be retained in those providers' systems subject to their respective retention policies.
8. Voice Print, Voice Models, and Generated Speech
What Voice Print Is
Voice print is an optional feature. When enabled, the Service creates a voice model from the main speaker in video you upload and uses that model to generate short spoken bridges and framing lines in your clips. Voice models are created and speech is generated by our voice provider, ElevenLabs, on our behalf.
Consent Required
We do not create a voice model from a general upload permission or from your acceptance of these Terms. Before creating a voice model, we present a separate notice at the point of enrollment and require your affirmative consent. That notice states the purpose, the provider, what is collected, how long it is retained, what it is never used for, and how to delete it. We keep a record of your consent.
Owner Only
You may enroll a voice model only for your own voice. You represent that you are the speaker whose voice is used to create the model. Enrolling any other person's voice, whether or not you believe you have their permission, is prohibited.
Limits on Our Use
Your voice model is used only to generate speech within your own projects. We do not use your voice samples, voice model, or any voice-derived representation to train, fine-tune, or improve AI models, and we do not use your voice model to generate speech for any other account or purpose. Reposted clips under Section 6 may contain speech already generated in your projects; reposting does not involve generating new speech.
Retention and Deletion
Your voice model is retained until the earliest of: your deletion request through account settings or support@threadlinestudio.io; closure of your account; or three years after you last used voice print. On deletion, we remove the voice model from our systems and request deletion from our voice provider. Deletion is typically completed within 30 days.
Prohibited Uses
You must not use voice print or any generated speech to deceive, impersonate, defraud, harass, or defame any person; to make unlawful robocalls; to evade verification or security safeguards; to create content presenting a real person as saying something they did not say in a way that could mislead; or to violate any person's rights.
Disclosure of Generated Speech
You are responsible for complying with any law that requires disclosure that audio in your clips was generated by AI, including in jurisdictions that mandate labeling of synthetic media.
Reporting Misuse
If you believe a voice model or clip on the Service uses your voice, or the voice of a person you represent, without consent, email support@threadlinestudio.io with the subject line "Voice misuse report" and include a description of the content, where you encountered it, and how we may contact you. We will acknowledge reports within five business days. On receipt of a credible report we may disable the relevant voice model pending review, remove reposted clips containing it, and suspend or terminate the responsible account. We may also notify our voice provider where its terms require it.
9. AI and Automated Processing Disclosure
AI Features
ChatClip uses artificial intelligence and automated processing to analyze uploaded content and produce clips. AI processing includes:
- Transcription: Uploaded audio is sent to third-party providers that generate text transcripts with word-level timing, confidence scores, speaker labels, and language detection.
- Speaker detection: The Service identifies speaker turns and the dominant speaker within a video. Where multiple speakers are present, the Service follows the dominant speaker and notifies you.
- Content analysis and cutting: Transcript text, video frames, prompts, and project metadata may be sent to third-party AI model providers to identify moments, structure clips, generate captions and titles, rank candidate versions, and respond to chat instructions.
- Embeddings: The Service generates mathematical representations of transcript and visual content for search and feature functionality.
- Voice generation: As described in Section 8.
Third-Party AI Providers
AI features are delivered through third-party providers. Customer Content or excerpts may be sent to these providers to perform the processing above. Processing by these providers is subject to their respective terms and privacy policies. A current list of providers is maintained at chatclip.io/sub-processors.
The Service logs token counts, model identifiers, and processing metadata for operational, billing, and debugging purposes.
AI Output Disclaimer
Generated outputs, including transcripts, clips, captions, titles, graphics, and generated speech, may be inaccurate, incomplete, or inappropriate. Output may not be unique and may be subject to third-party rights. You are responsible for reviewing all output before publishing or otherwise using it, and for all final editorial decisions. Do not rely on output as legal, medical, financial, safety, or other professional advice. We make no representations regarding the accuracy or suitability of generated content.
No Fully Automated Decisions
No fully automated decisions with legal or similarly significant effects are made about you as a user. For users in the European Economic Area and United Kingdom, this disclosure is provided in accordance with applicable data protection law.
10. Acceptable Use
You agree not to use the Service to:

With respect to output generated by the Service for you, we assign to you any rights we may hold in that output, subject to the licenses in Section 6. You may use your exports without restriction from us. We make no representations regarding the copyrightability of AI-generated content under applicable law.

If you believe that content on the Service infringes your copyright, you may submit a notification under the Digital Millennium Copyright Act by providing the following in writing to our designated copyright agent at support@threadlinestudio.io:

13. Liability and Indemnification
Disclaimer of Warranties
The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, we disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not promise uninterrupted, error-free, secure, or lossless operation, or that transcription, AI, or generated-speech output will be accurate.
Limitation of Liability
To the maximum extent permitted by applicable law, Threadline Studio, Inc. and its suppliers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to your use of the Service, including damages for loss of profits, data, goodwill, or business opportunities.
Our total aggregate liability to you for all claims arising from or related to the Service shall not exceed the total amount you paid to us in the 12 months preceding the claim.
Indemnification
You agree to indemnify and hold Threadline Studio, Inc. and its officers, directors, employees, and agents harmless from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, your Customer Content, your enrollment or use of any voice model, or your violation of any third-party rights. This includes claims brought by our service providers arising from your conduct.
Regional Exceptions
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law. For users in the United Kingdom and European Economic Area, statutory consumer rights are preserved. For users in Australia, nothing in these Terms excludes rights under the Competition and Consumer Act 2010 that cannot be excluded.
14. Service Interruption and Discontinuation
We may interrupt the Service for maintenance, updates, or other operational reasons, and will make reasonable efforts to provide advance notice. Features that depend on third-party services are subject to those providers' availability and terms; a provider's outage or change may affect a feature.
If the Service is permanently discontinued, we will provide reasonable notice and an opportunity for you to export your data before the Service is terminated.
The Service may also be unavailable due to circumstances beyond our reasonable control.
15. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles. Subject to Section 16, the exclusive jurisdiction for any dispute arising from these Terms lies with the courts of the State of Delaware.
Regional Exceptions
If you qualify as a consumer under applicable law in your jurisdiction, mandatory local consumer protection laws that cannot be waived by contract shall prevail to the extent they conflict with these Terms.
16. Dispute Resolution and Arbitration
Informal Resolution
Before initiating any formal dispute resolution, you agree to contact us at support@threadlinestudio.io and attempt to resolve the dispute informally for at least 30 days.
Binding Arbitration
If the dispute is not resolved informally, you and Threadline Studio, Inc. agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA"). For disputes brought by individuals not acting on behalf of a business, the AAA Consumer Arbitration Rules apply. For all other disputes, the AAA Commercial Arbitration Rules apply. The arbitration shall be conducted in the State of Delaware. The arbitrator's decision is final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class Action and Jury Trial Waiver
You and Threadline Studio, Inc. each waive any right to a jury trial. You and Threadline Studio, Inc. each waive any right to participate in a class action, collective action, private attorney general action, or other representative proceeding. Unless both parties agree otherwise, the arbitrator may not consolidate or join more than one person's claims.
Small Claims Exception
Either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits.
Regional Exceptions
This arbitration agreement does not apply to users who qualify as consumers in the European Economic Area, United Kingdom, Switzerland, Brazil, or Australia, where mandatory local laws provide a right to bring claims in local courts. If you are located in any of these jurisdictions, you retain your right to bring claims in your local courts as provided by applicable law.

You represent and warrant that you are not located in, under the control of, or a national or resident of any country subject to United States embargo, and that you are not on the United States Treasury Department's list of Specially Designated Nationals or the United States Commerce Department's Denied Persons List or Entity List. You agree to comply with all applicable export control and sanctions laws in your use of the Service.
18. Changes to These Terms
We may modify these Terms at any time. We will provide at least seven days' notice of material changes, or longer where required by applicable law, except in situations requiring immediate updates for security, legal compliance, or the prevention of abuse. Non-material changes, such as corrections and clarifications that do not affect your rights, may take effect immediately upon posting.
Continued use of the Service after the notice period constitutes acceptance of the revised Terms. If you do not agree to the changes, close your account.
19. General Provisions
No Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in full force and effect.
